Terms and Conditions of PUPPE urban clothing FZCO
Scope and Definitions
These Terms and Conditions (“T&Cs”) apply to all business relationships between PUPPE urban clothing FZCO, IFZA Business Park, 67071-001, Makani A1-3641379065, Dubai, UAE, represented by Ms. Raphaela Kruse (hereinafter referred to as the “Seller”) and the customer (hereinafter referred to as the “Customer”) in the version valid at the time of the order.
Any deviating terms and conditions of the Customer will not be accepted unless the Seller expressly agrees to their validity in writing.
These T&Cs apply regardless of whether the Customer is a consumer or a business entity.
A consumer is any individual who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession. A business entity is any natural or legal person or legally capable partnership acting in the exercise of their commercial or independent professional activity when concluding the contract.
Formation of Contract
The presentation and promotion of items in the Seller’s online shop do not constitute a legally binding offer but merely an invitation to place an order (invitatio ad offerendum).
The Customer may select products from the Seller’s range and collect them in a virtual shopping cart via the button “Add to cart.” By clicking “Place order,” the Customer submits a binding offer to purchase the items in the shopping cart. Before submitting the order, the Customer can review and modify the entered data at any time.
The order can only be placed if the Customer accepts these T&Cs by checking the box “I accept the Terms and Conditions.”
The Seller will then send an automatic order receipt confirmation via email, which lists the Customer’s order and can be printed out. This confirmation merely documents that the order has been received and does not constitute acceptance of the offer.
The contract is only concluded when the Seller sends a separate order confirmation by email.
The contract text (including the order, T&Cs, and order confirmation) is sent to the Customer via a durable medium (email or printout) and stored in compliance with data protection regulations.
The language of the contract is German.
Steps to Conclude the Contract and Correction of Input Errors
During the ordering process, the Customer can review and correct all details (e.g., payment method, shipping information, or quantity) before clicking “Place order.” The Customer can cancel the process at any time by closing the browser window.
Registration and Processing of Personal Data
Customers can place orders as guests or registered users. Registered users can log in with their email and password for future purchases. Registration does not oblige the Customer to make any purchases.
The Seller collects and processes personal data (especially contact details) to fulfill orders. The Seller may use third-party service providers to verify creditworthiness. Details are set out in the Seller’s Privacy Policy.
Delivery Conditions
Delivery times are calculated from the order confirmation date, provided payment has been received in advance (unless payment by invoice is selected).
If no delivery time is stated in the online shop, delivery takes place within seven (7) days.
If the ordered product is permanently unavailable, no contract is concluded, and the Customer will be notified.
Prices and Shipping Costs
All prices include statutory VAT and exclude shipping costs.
Shipping costs are displayed during the checkout process. Orders above EUR 150 are shipped free of charge.
Shipping is via postal delivery. The Seller bears the shipping risk if the Customer is a consumer.
If the Customer withdraws from the contract, the Customer must bear the cost of returning the goods.
Payment Terms, Set-off, and Retention Rights
The purchase price is due immediately upon order.
Payment methods include debit/credit card, PayPal, or Klarna.
The Customer may only offset undisputed or legally established claims against the Seller. A right of retention exists only if the counterclaim arises from the same contract.
Retention of Title
Goods remain the property of the Seller until full payment has been received.
Warranty
The Seller is liable for material and legal defects in accordance with applicable law.
The warranty period for consumers is two (2) years from delivery; for business entities, it is twelve (12) months.
Additional guarantees exist only if expressly stated in the order confirmation or provided by the manufacturer.
Liability
The Seller is not liable for damages except in cases of intent, gross negligence, or injury to life, body, or health.
In case of breach of essential contractual obligations (cardinal duties), liability is limited to foreseeable, typical damages.
These limitations also apply to the Seller’s legal representatives and agents.
Mandatory statutory liability, such as under product liability laws, remains unaffected.
Right of Withdrawal (Consumers Only)
Consumers have the statutory right to withdraw from the contract within 14 days without stating reasons.
Copyright
All images, films, and texts published in the online shop are protected by copyright. Use without express permission is prohibited.
Applicable Law and Jurisdiction
Contracts between the Seller and the Customer are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For merchants or legal entities, the place of jurisdiction is the Seller’s registered office.
The Seller is neither obliged nor willing to participate in such proceedings.
Severability Clause
If any provision of these T&Cs is found invalid, the remaining provisions remain effective. In such cases, the statutory regulations shall apply.
